General Terms and Conditions of Sale
Preamble
These General Terms and Conditions of Sale (hereinafter “GTC”) govern all commercial transactions concluded between D.G.E. Concept SàRL, Arzier-Le Muids, canton of Vaud, Switzerland, publisher of the CandleSafe.ch platform (hereinafter “the Seller”), and any User subscribing to a paid subscription (hereinafter “the Buyer”).
Any subscription to a paid plan constitutes full and unreserved acceptance of these GTC, together with the General Terms and Conditions of Use. This acceptance is recorded electronically with a timestamp and constitutes legally binding evidence.
Art. 1 Purpose
These GTC are intended to define the terms and conditions of sale of subscriptions granting access to the features of the CandleSafe.ch platform. The service sold is access to an online software (SaaS) for generating regulatory documents (SDS and CLP labels) intended for craftspeople and professionals.
Art. 2 Offers, pricing and currencies
2.1 — Available plans
CandleSafe.ch offers several subscription plans suited to different production volumes, with no free trial period. Full details of the available plans and current pricing (CHF, EUR, GBP) are available on the Pricing page of CandleSafe.ch, which shall prevail.
Additional languages (beyond the language included in each plan) are available as a paid add-on.
2.2 — Currencies
Subscriptions are available in three currencies: Swiss franc (CHF), euro (EUR) and pound sterling (GBP). The applicable price is the one displayed at the time of subscription in the currency chosen by the Buyer.
2.3 — Prices and VAT
D.G.E. Concept SàRL is a company incorporated under Swiss law. Prices displayed are exclusive of VAT. The management of VAT and any applicable tax in the Buyer's country of residence is the sole responsibility of the Buyer, in accordance with applicable local tax regulations.
2.4 — Price changes
The Seller reserves the right to modify its pricing with a minimum notice of thirty (30) days communicated by email. The Buyer may cancel their subscription free of charge if they reject the new pricing, before the date on which it takes effect.
Art. 3 Order and subscription
3.1 — Subscription process
Subscribing to a plan is done exclusively online on CandleSafe.ch, following these steps:
- Creating an account or logging into an existing account
- Selecting the desired subscription plan and currency
- Accepting these GTC and the Terms of Use (mandatory checkbox — acceptance recorded with timestamp)
- Entering and confirming payment information
- Subscription confirmation by email to the registered address
3.2 — Contract formation
The sales contract is deemed concluded on the date the Buyer receives the subscription confirmation email. This email summarises the plan subscribed to, the amount charged, the currency, and the subscription start and end dates.
3.3 — Professional context
CandleSafe.ch is a service intended for professionals and craftspeople. By subscribing, the Buyer declares that they are acting within the scope of their professional or trade activity.
Art. 4 Payment
4.1 — Accepted payment methods
Payments are accepted via the following methods:
- Bank card (Visa, Mastercard) — PCI-DSS secure processing
- TWINT — available for CHF payments from Switzerland
- PayPal
- Bank transfer — upon request for annual subscriptions; bank details are provided after order confirmation
D.G.E. Concept SàRL does not access any banking data, card numbers or security codes. Card payments are processed by a PCI-DSS certified provider. In the event of a payment dispute, the Buyer may contact their bank or payment provider.
4.2 — Invoicing
A receipt or invoice is automatically issued by email for each transaction. The Buyer can access their payment history from their dashboard.
4.3 — Payment default
In the event of a failed or declined payment, the Buyer is notified by email. A period of ten (10) days is granted to resolve the situation. After this period, access to the Platform's features is suspended. Previously generated documents remain accessible for viewing for an additional thirty (30) days.
Art. 5 Duration, renewal and termination
5.1 — Subscription duration
Subscriptions are taken out for a fixed term (monthly or annual), as indicated at the time of subscription and in the confirmation email. The subscription takes effect on the date the payment is validated and expires on the end date indicated.
No CandleSafe.ch subscription renews automatically. Upon expiry, access to paid features expires. The Buyer receives a reminder email before the end of their period to allow them to subscribe to a new period if they wish. Continuity of access is solely at the Buyer's initiative.
5.2 — Early Termination by the Buyer
The Buyer may discontinue use of the Platform at any time. However, no refund is granted for the current subscription period, regardless of the termination date or level of use. Access remains active until the originally subscribed subscription end date.
5.3 — Termination by the Seller
The Seller may suspend or terminate a Buyer's access without notice in the event of a serious breach of the TOU or these GTC, proven fraudulent or abusive use, or non-payment after the grace period defined in Article 4.3. In the event of termination by the Seller for a reason not attributable to the Buyer, the pro-rata of unused days shall be refunded.
5.4 — End of Service
In the event that the Seller decides to discontinue the operation of CandleSafe.ch, Buyers holding an active subscription will be notified by email with ninety (90) days' notice. The pro-rata of unused days will be refunded.
Art. 6 No-Refund Policy
Any amount paid for a CandleSafe.ch subscription is definitively retained by the Seller, except as expressly provided in Articles 5.3 and 5.4. No refund is granted for :
- a current subscription period, regardless of the termination date ;
- partial or total non-use of the monthly document quota ;
- a change in the Buyer's professional situation or needs ;
- dissatisfaction with the results generated by the Platform.
The Seller undertakes, however, on a commercial and good-faith basis, to examine any refund request submitted within forty-eight (48) hours of the initial subscription, in the event of a proven and documented technical impossibility of accessing the service. Such requests must be sent to contact@candlesafe.ch.
Art. 7 Right of Withdrawal
In accordance with Article 16 of European Directive 2011/83/EU, the 14-day right of withdrawal does not apply to digital content whose execution has begun before the expiry of the withdrawal period, with the Buyer's prior express consent.
By subscribing and immediately accessing the Platform's features, the Buyer expressly acknowledges and agrees that the digital service is provided upon payment confirmation, resulting in the waiver of the right of withdrawal. For Buyers acting in a professional capacity, the consumer right of withdrawal does not apply.
Art. 8 Service and Support
8.1 — Availability
The Seller strives to ensure Platform availability 24/7. No guaranteed service level (SLA) is contractually committed under standard subscription plans. Interruptions may occur for maintenance, updates, or force majeure events, without giving rise to any right to compensation.
8.2 — Support
Support is accessible via the contact form and by email at contact@candlesafe.ch. The Seller undertakes to provide a response within two (2) business days.
8.3 — Regulatory Updates
The Seller strives to keep the CLP/REACH algorithms up to date. However, it does not guarantee real-time updates with every regulatory change. It is the Buyer's responsibility to verify the compliance of their documents with applicable regulations.
Art. 9 Assignment of Subscription
The subscription is personal and non-transferable. It may not be assigned or shared without the Seller's prior written consent. In the event of a business transfer, the assignment may be considered upon request to contact@candlesafe.ch.
Art. 10 Applicable Law and Jurisdiction
These GTC are governed by Swiss law (Code of Obligations). Any dispute between professionals shall be subject to the exclusive jurisdiction of the District Court of La Côte (Nyon, canton of Vaud, Switzerland).
For Buyers residing in the European Union and acting as consumers, the mandatory jurisdiction rules of EU law apply. The European Commission's online dispute resolution platform is accessible at : ec.europa.eu/consumers/odr.
Art. 11 Final Provisions
11.1 — Precedence of the GTC
In the event of any conflict between these GTC and any other commercial document, these GTC shall prevail, unless the Seller has given express written consent to the contrary.
11.2 — Partial Invalidity
If any clause is declared null or unenforceable, the remaining clauses shall remain in full force and effect.
11.3 — Archiving and Contact
